ICR, LLC, one of the fastest-growing Investor Relations and Financial Communications firms in the world, and a registered broker-dealer, is seeking an experienced attorney to join as Associate Counsel. The position will be based in Norwalk, Connecticut, but will also service the company’s New York, Boston, California and Beijing offices. The ideal candidate should be prepared to support the business activities of the entire company, including those set forth below.


  • Assist with day-to-day legal operations of the parent company and affiliates, including its broker-dealer subsidiary and drive related legal strategies for both.
  • Educate and provide counsel to ICR’s executive team and partnership on compliance, risk management, legal issues and corporate governance.
  • Draft and revise client, vendor and employee contracts, negotiating changes where applicable.
  • Advise the broker-dealer subsidiary on compliance, legal and risk issues.
  • Advise Finance and Accounting regarding a variety of matters including invoicing, collections, contract interpretation, etc.
  • Liaise with Information Technology on the Information Security policy, related practices, and the handling of issues as they arise.
  • Partner with Human Resources on employment contracts, policies, termination documents and employee matters.
  • Review marketing materials, including letters, emails, releases and communications.
  • Oversee development and rollout of company’s compliance policies, procedures and training programs, including those related to insider trading, AML, securities matters, and FINRA oversight.
  • Negotiate credit documents and leases
  • Draft corporate documentation for all ICR entities, including operating agreements, administrative agreements, expense allocation and reimbursement agreements.
  • Oversee outside counsel on all legal matters globally, including those related to collections issues, M&A, bankruptcy, intellectual property and employment matters.

Minimum Requirements

  • Juris Doctorate from an accredited law school
  • 0-3 years law firm or in-house legal experience
  • Licensed to practice law in Connecticut (or scheduled to take bar exam if recent graduate)
  • Excellent judgment and communication skills
  • Strong contract drafting and negotiation skills
  • Intermediate to advanced Microsoft Word and Excel skills
  • Flexible, utility player willing to take on a variety of strategic projects
  • Ability to work independently and manage multiple projects in a fast-paced, quick-turnaround environment
  • Professional demeanor and team player with a high degree of self-confidence
