ICR Governance Solutions (IGS) is a unique specialist advisory group within ICR that provides end-to-end governance and ESG solutions. IGS seeks an experienced and highly motivated Senior Vice President to join our fast-growing team to assist our clients on shareholder advisory projects (proxy, shareholder engagements and activism, among others) and a comprehensive support on helping our clients meet ESG needs.

The Senior Vice President will report directly to the Head of IGS to assist in advising public company management teams and boards of directors as well as pre-IPO private companies on developing and articulating their ESG strategy, engaging with shareholders on ESG, proxy issues and activism issues, developing strategies for navigating complex shareholder matters with shareholders and the proxy advisors, and supporting new business development initiatives. The successful candidate will demonstrate an ability to translate knowledge of corporate governance (including environmental and social matters, and executive compensation), activism, M&A, and proxy voting into actionable advice for clients and business development strategies.

Roles & Responsibilities of the Senior Vice President include, but are not limited to, the following:

  • Work closely with the Head of IGS and other Partners of the firm to lead execution of client engagements
  • Manage client deliverables and support day-to-day client engagement with clients with support from the client management team
  • Contribute to the overall growth the ESG practice within the firm, including preparing for new client pitches
  • Cultivate and manage relationships with internal ICR client managers to assist their clients on ESG needs
  • Analyze and translate client, relevant industry issues, key ESG frameworks and ESG data to develop ESG strategy and governance solutions tailored to specific client needs
  • Execute on ICR ESG product deliverables related to diagnostic, disclosure and shareholder engagement solutions
  • Work with the team to develop strategies for engaging with and securing support of ESG-focused and fundamental investors on the full range of governance issues, including contested situations on M&A and shareholder activism
  • Assist in drafting communications and materials to aid ICR clients during contested/event-driven situations
  • Craft and deliver various marketing and thought leadership content
  • Monitor and Research relevant industry developments, identifying potential new service offerings

Qualifications:

  • Bachelors degree required with a concentration on finance, economics, or ESG-related discipline strongly preferred
  • 7+ years of relevant professional work experience
  • Strong knowledge of ESG, impact investing and corporate governance/proxy issues
  • Working knowledge of finance and accounting
  • Excellent written and verbal communication and presentation skills
  • Experience writing and producing reports
  • Strong Excel and PowerPoint skills
  • Expertise with research platforms (Bloomberg Terminal, FactSet, Proxy Insight, etc.)
