David A. Galper

David leads ICR’s Capital Markets Advisory practice as well as the firm’s Financial Sponsor Coverage effort. He provides expert counsel to privately held businesses, public companies and financial sponsors on a wide range of corporate finance activities. With more than 20 years of investment banking, equity capital markets and consulting experience, David brings creativity, know-how and a long-term perspective to each client relationship. His corporate board experience and role as an investor in private businesses gives David unique insight into the strategic challenges and value creation opportunities faced by companies in different economic climates.

In his career, David has originated and executed more than 75 equity offerings, M&A advisory mandates, and leveraged finance transactions for companies across multiple verticals and stages of development. He has a deep understanding of business models and valuation techniques, and a proven track record of positioning “first-of-a-kind” businesses. Media outlets such as Bloomberg News, The Wall Street Journal, Reuters, and The Deal have called upon David to comment on industry trends, and he has served as a panelist at multiple industry conferences.

David developed in-depth knowledge of the public equity markets as a founding member of the Equity Capital Markets Execution Group at Lehman Brothers. In this capacity, he led the execution of IPOs and follow-ons for many of the firm’s high profile clients. David was responsible for managing and structuring the entire transaction process from initial organizational meeting to pricing and closing activities. In addition, he authored numerous memoranda used throughout the firm on execution best practices, including The Process for Expedited Equity Trades/Overnight Bids, The Process Rules for 144 and 145/Restricted Stock Equity Trades, and New Comfort Letter Procedures.

David began his investment banking career at BT Alex. Brown (predecessor to Deutsche Bank Securities) and led investment banking practices at both Jefferies and KeyBanc Capital Markets. He has a B.A. in Economics from Gettysburg College where he was a member of the Economics Honorary Society (Omicron Delta Epsilon), and an M.B.A. from the Darden School at the University of Virginia. David holds Series 7, 79, 63, 62 and 24 securities registrations.
