Anna Shearer

Anna has over 15 years of experience advising, negotiating, and structuring various equity finance, equity derivative, and equity-linked product transactions. She advises boards and management teams on structuring and executing convertible debt transactions, convertible preferred and mandatory offerings, structured share repurchases, capped calls and call spreads, hedging and monetization strategies (including collars, variable prepaid forwards, margin loans, etc.), and warrant management solutions.

Most recently, Anna served as Senior Capital Markets Company Counsel at Wells Fargo, where she advised multiple desks covering equity derivatives and various other areas. Additionally, she represented Wells Fargo in industry initiatives such as the ISDA Equity Steering Committee and industry forums related to regulatory and legislative reform. Anna previously honed her expertise in equity derivatives at Barclays Capital.

Anna began her career at Shearman & Sterling LLP, where she worked in both the Capital Markets and Derivatives/Asset Management groups, providing legal guidance to a wide range of clients.

Anna’s passions are her three boys and their outdoor adventures.
