Donna F. Anderson

Senior Advisor, Governance & Shareholder Advisory

Donna Anderson is Senior Advisor to the Governance & Shareholder Advisory practice at ICR. She joined the team in 2025 after 18 years as Global Head of Corporate Governance with T. Rowe Price Associates, an asset manager with $1.6 trillion in actively managed investment strategies. In that capacity, she engaged with hundreds of companies on their financial and proxy disclosures, special situations, executive compensation practices, board effectiveness and navigating change.

As the longtime leader of the T. Rowe Price proxy voting and governance practice, Donna was known for integrating the firm’s investment view of companies into her analysis of their disclosures, shareholder rights, incentive structures and governance practices. She has carried this framework over to the Governance & Shareholder Advisory team at ICR, advising boards and management teams on optimizing their approach to shareholder engagement and investor communications.

While at T. Rowe Price, Donna also served as a Director on the firm’s independent Trust Company, and was a member of the firm’s Valuation Committee where she had extensive engagement with the late-stage privately held companies in the asset manager’s portfolios.

Prior to her role at T. Rowe Price, Donna was Director of Equity Research for Invesco’s mutual funds division in Houston, Texas. She earned an MBA from the University of Texas at Austin, and a B.A. from Trinity University.
