Lyndon is Head of ICR Governance Advisory Solutions, which advises boards and management teams on complex corporate governance, ESG, and event-driven issues. Lyndon works closely with boards and management to proactively implement best-practice governance processes and structures to align with investor and market expectations, and provides guidance on board-related responsibilities (e.g., executive compensation, succession planning, board composition and director recruitment). Known for many years in the issuer community as a pragmatic investor with a fundamentals-led approach to corporate governance, Lyndon also collaborates with the management, IR and corporate secretarial teams to provide support on governance-related responsibilities, from preemptive activism defense to proxy and CSR narrative design/drafting. Strategically leveraging his unique vantage point as an investor, Lyndon aids in the development of shareholder engagement programs customized to each issuer’s investor base to help each company establish positive, long-term relationships with its most significant shareholders.
Before joining ICR, Lyndon was Head of Global Corporate Governance at Dimensional Fund Advisors where he oversaw and implemented the firm’s global stewardship and ESG initiatives. Prior to Dimensional, Lyndon was Partner and Head of Governance & Listing Standards at Equilibrium Stock Exchange, a capital markets start-up. Lyndon began his career in governance at BlackRock by supporting BlackRock’s board of directors on intra-company governance matters. He then transformed his career at BlackRock by serving as one of BlackRock Investment Stewardship team’s lead governance analysts, managing governance and ESG issues concerning portfolio companies representing around $450B of BlackRock’s assets under management.
In his combined tenure as a governance leader at BlackRock and Dimensional, Lyndon engaged with hundreds of board and management team members on matters related to corporate strategy, governance, ESG and event-driven/crisis situations, and has covered and made decisions on most of the key contentious proxy battles in recent years as an investor. Widely recognized as one of the foremost experts on corporate governance, Lyndon actively participates in public speaking events and forums to provide thought leadership.
Lyndon received his BA in English Literature, magna cum laude, from Columbia University.
